The Belgian superstar has been struggling with a calf injury for the last two weeks, and had further treatment this morning.
Chelsea assistant manager Steve Holland said last week that Hazard would only be considered for the first leg of the semi-final if he had trained before the game.
The news is a blow for Chelsea manager Jose Mourinho, who could do with Hazard's firepower against the Spaniards.
Hazard, who is top scorer with 17 goals this season, picked up the injury in the second leg of the quarter final win over Paris St Germain at Stamford Bridge.
Chelsea, who flew out to Madrid this afternoon, have no other injury problems, with fullback Cesar Azpilicueta recovering from a knock.
With right back Branislav Ivanovic suspended, Mourinho has to decide whether to bring Ashley Cole in at left back and switch Azpilicueta to the right.
But the speculation is that the Chelsea manager is considering keeping Azpilicueta on the left and bringing in Brazilian David Luiz as right back.
